Parties: This end user license agreement is between IonGFX Studio and the End User Organization hereafter known as the Team. License Type: Indie DEMO End User License Terms: 1. Media LICENSE: This is an Indie DEMO License type. The software may not be shared with other persons, regardless of team size. The software may be used by ONE person and installed on as many as TWO machines that are owned and operated by the Licensee at any given time and for a period of 30 DAYS from the original date of installation. The license expiration goes with the licensee, not the machine so after the 30 days is up, the user must purchase a copy to continue to use the system ON ANY COMPUTER SYSTEM. This media is copyrighted and protected by law and international treaty. You may download this media through a web browser for use in the creation of any simulation or video game product, unless specifically licensed by IonGFX Studio. This is a license, not a transfer of title, and you may not create derivative works based on this media for retail sale or distribution by any means other than as provided by this agreement; and you may not transfer this media or the documentation in whole or in part to another person without IonGFX Studio’s permission; and you may not remove any copyright or other IonGFX Studio proprietary notices; and you may not transfer this media to another person outside of the established team membership. (a) Licensee may publicly sell, distribute, release, publish, transmit and/or exploit any simulation or video game created with our assets. (b) Licensee may have the multiple games published publisher with no royalties. (c) This license permits the use of the assets for any non-Game application such as simulations, virtual worlds, or other non- Game products, as long as assets are in protected form (Dll, exe or some other protected format file). (d) This license agreement includes all source code contained in source files and/or DLLs (Dynamic Link Libraries and .NET Assemblies) regardless of their file name. 2. RESTRICTIONS OF THIS LICENSE: This product is intended to be used for ANY game or ANY simulation, virtual world, or other non-Game product, as long as assets are in protected form (Dll, exe or some other protected format file), by the license owner. This license is not transferable without the permission of IonGFX Studio. (a) You may not sell derivative works or similar software products that are created using this software as a coding base, modify code to resell in parts, or in whole. (c) This product and all of the assets of this product including, but not limited to, all models, textures and any derivative works thereof, may not be resold, reworked and re-distributed individually, or as a package offering in any format outside of the project work of the initial purchaser as described in section 1 without the prior written permission of IonGFX Studio. 3. OWNERSHIP: This media and all IonGFX Studio information on the www.iongfx.com web site is proprietary material of IonGFX Studio and except as provided for by this agreement, may not be copied, reproduced, published, uploaded, posted, transmitted, or distributed in any way, without prior written permission. Except as expressly provided here, IonGFX Studio and its suppliers do not grant any express or implied right to you under any patents, copyrights, trademarks, or trade secret information of IonGFX Studio or its suppliers. 4. TERMINATION OF THIS LICENSE: IonGFX Studio may terminate this license at any time if you are in breach of the terms and conditions of use. Upon such termination you must and agree to immediately destroy all copies of this media and all of its accompanying documentation. 5. DISCLAIMER AND WARRANTY: IonGFX Studio provides the products related to this agreement "AS IS" without warranty of any kind. IonGFX Studio makes no warranties, either express or implied, in conjunction with any content sold. 6. CHOICE OF LAW: This agreement will be governed by the laws of the United States, excluding its conflict of law provisions. Unless otherwise agreed in writing, all disputes relating to this Agreement shall be subject to final and binding arbitration in Olympia, Washington with the losing party paying all costs of arbitration.
